KAOS CULTURE DESIGN & PRODUCTION AGREEMENT
This Design & Production Agreement ("Agreement") is entered into between Kaos Culture
("Kaos") and the undersigned Client ("Client") as of the date of signature.
This Agreement governs all design, customization, sourcing, and production services provided by Kaos for apparel, merchandise, and branded goods.
1. Scope of Services
Kaos Culture agrees to provide creative design, sourcing, customization, and/or production services for apparel and merchandise which may include but are not limited to:
- T-Shirts
- Hoodies / Crewnecks
- Hats
- Bags
- Patches
- Accessories
- Custom merchandise
Services may include concept development, graphic design, mockups, sourcing garments, printing, embroidery, finishing, packaging, and delivery coordination.
2. Client Responsibilities
Client agrees to:
- Provide accurate logo files, artwork and brand assets (PNG, SVG, AI, EPS preferred)
- Confirm garment types, sizes, colors and quantities
- Provide timely feedback and approvals
- Ensure they own or have rights to all submitted artwork and branding
Kaos is not responsible for delays caused by missing files, incomplete information, or slow approvals.
3. Design Ownership & Usage Rights
3.1 Client-Provided Artwork
Client retains ownership of any logos, artwork, or intellectual property provided to Kaos.
Client grants Kaos permission to use submitted assets for the purpose of design, production, and portfolio/social media display.
3.2 Kaos-Created Designs
All original concepts and artwork created by Kaos remain the intellectual property of Kaos Culture unless otherwise purchased in writing.
Client receives the right to use final approved designs for their apparel and merchandise production through Kaos.
Design transfer, editable source files, or exclusive ownership require a separate written agreement and fee.
4. Design Process & Approvals
• Kaos will present design concepts/mockups for review.
• Client must approve all artwork prior to production.
• Approval confirms acceptance of layout, colors, spelling, placement, and sizing.
• Final Garment Selection
Once approved, Kaos is not responsible for errors discovered after production begins.
5. Production Terms
• All garments and materials are ordered specifically for each client project.
• Slight variations in color, placement, sizing, and fabric are normal within industry standards.
• Kaos may substitute comparable garments if supply issues occur, with communication and approval from the client.
6. Payment Terms
• 50% deposit required at agreement to begin design work and secure garment sourcing.
• Remaining balance due prior to production release or delivery unless otherwise agreed.
Deposits are non-refundable once design work or sourcing has begun.
7. Timeline & Turnaround
Production timelines vary depending on:
• Garment sourcing
• Design complexity
• Order size
• Approval speed
Estimated timelines are not guaranteed. Rush orders may include additional fees.
8. Cancellations & Changes
• Design revisions are included within reasonable limits.
• Major redesigns or project direction changes may incur additional fees.
• Orders cannot be cancelled once production has started.
9. Returns & Defects
Because all items are custom:
• Returns are not accepted for sizing, color preference, or buyer's remorse.
• Kaos will repair or replace items with verified production defects.
10. Limitation of Liability
Kaos shall not be liable for:
• Lost profits
• Event delays
• Brand performance outcomes
• Indirect or consequential damages
Total liability shall not exceed the amount paid for the project.
11. Marketing & Portfolio Use
Client grants Kaos permission to:
• Photograph finished products
• Share designs on social media, website, and marketing materials
Unless a written NDA is executed.
12. Client Warranty
Client confirms:
• They own or have legal rights to submitted artwork
• Designs do not infringe on trademarks, copyrights, or intellectual property
Client agrees to indemnify Kaos from any legal claims related to provided artwork.
13. Governing Law
This Agreement shall be governed by the laws of the State of Kansas.
14. Entire Agreement
This document represents the full agreement between Kaos Culture and Client and overrides prior discussions.
I agree I have read, reviewed, understand and agree to the Design & Production agreement above. Signature of agreement to be collected on intake form.
